EU Regulators Seek Input on Prosus’ Delivery Hero Divestment Plan

European Union antitrust officials are reaching out to external stakeholders to gather feedback on Prosus’ proposal to significantly reduce its holding in Delivery Hero, a move aimed at easing regulatory concerns tied to its planned €4.1 billion ($4.77 billion) acquisition of a major stake in Just Eat Takeaway, according to Reuters.

    Prosus, a technology investor based in Amsterdam and controlled by South African conglomerate Naspers, has reportedly offered to cut its ownership in Delivery Hero from 27.4% to below 10% and relinquish its seat on the board. The move is intended to alleviate competition concerns within the EU, given that Delivery Hero and Just Eat Takeaway operate in overlapping markets, including Austria, Bulgaria, Italy, Poland, and Spain.

    According to Reuters, the European Commission has initiated a consultation with market participants to gauge whether the proposed divestment would sufficiently address the competition risks posed by the deal. However, the Commission did not disclose the precise size of the stake reduction in the consultation document distributed to third parties, per a source familiar with the process.

    Interested parties have until July 31 to provide their input, and a final decision from the Commission is expected by August 11. The regulatory body declined to offer public comment on the ongoing review. Likewise, Prosus has not issued a response to recent inquiries, Reuters reported.

    The proposed deal centers on Prosus acquiring a substantial stake in Just Eat Takeaway, Europe’s leading online food ordering platform. The company has previously expressed its belief that leveraging artificial intelligence could enhance the performance and reach of the food delivery giant.
