Nuvei Nears $2.7 Billion Deal to Acquire Payoneer, Sources Say

Canadian payments technology company Nuvei is in advanced discussions to acquire cross-border payments provider Payoneer Global in a deal valued at approximately $2.7 billion, according to two people familiar with the matter.

    Per Reuters, the proposed purchase price includes Payoneer’s cash holdings, resulting in an implied enterprise value of roughly $2.3 billion. The sources said an agreement could be finalized within days, although negotiations remain ongoing and there is no certainty that a transaction will ultimately be completed.

    The people familiar with the discussions said the talks are confidential and requested anonymity because they were not authorized to speak publicly about the matter. According to Reuters, the sources cautioned that the terms could still change or the negotiations could end without a deal.

    Nuvei is backed by private equity firms Advent International and Novacap, as well as Canadian institutional investor CDPQ. The company was taken private in 2024 through a deal led by Advent.

    Neither Nuvei nor CDPQ immediately responded to requests for comment, according to Reuters. Payoneer and Advent declined to comment on the discussions.

    A combination of the two companies would bring together Nuvei’s merchant payment processing operations with Payoneer’s international money transfer network, which serves suppliers, freelancers and online sellers around the world.

    The acquisition would also strengthen Nuvei’s position in emerging markets, where Payoneer has established a significant customer base. In addition, the deal would provide Nuvei with greater exposure to major online marketplaces that use Payoneer’s services, including Amazon, Walmart and eBay, according to Reuters.

    Payoneer, headquartered in New York, specializes in facilitating cross-border payments for businesses and independent workers, while Nuvei provides payment acceptance solutions for merchants across multiple industries. The proposed transaction would further consolidate the payments sector as companies seek broader global reach and expanded service offerings.
