Federal antitrust authorities ended the mandatory waiting period for the transaction ahead of schedule on Oct. 21, according to an Oct. 25 report by The FINANCIAL, citing a securities filing submitted by MarketAxess on Oct. 22.

The decision by the U.S. Department of Justice and Federal Trade Commission satisfies a key requirement under the Hart-Scott-Rodino Antitrust Improvements Act, which governs federal premerger notification and review.

The development removes one regulatory obstacle but does not constitute final approval of the acquisition. MarketAxess shareholders must still endorse the transaction, while the companies must secure other required regulatory clearances and meet the remaining conditions of their merger agreement.

Deal Would Expand ICE’s Reach in Bond Markets

The acquisition, announced July 30, calls for ICE to purchase MarketAxess for $167 per share in cash, representing a 33% premium to the bond-trading company’s closing share price on July 29.

The offer values MarketAxess’s equity at approximately $6 billion, with an enterprise value of about $5.7 billion, according to The FINANCIAL.

For ICE, the purchase represents a major expansion of its fixed-income business, adding an established institutional electronic trading network to its existing operations in bond markets, financial data and analytics.

MarketAxess provides electronic trading services to approximately 2,100 institutional investors and broker-dealers operating in more than 90 countries. Its platform supports transactions across corporate debt, government securities and other fixed-income products.

Combining those capabilities with ICE’s retail bond-trading operations, pricing services and index business would allow the exchange operator to offer a broader range of services to institutional and individual market participants.

The proposed integration also reflects the financial industry’s continuing shift toward electronic bond trading, as market operators seek to connect liquidity, transaction execution and financial data within increasingly integrated platforms.

ICE Targets Cost Savings and Earnings Growth

ICE expects the acquisition to generate approximately $100 million in annual cost savings within three years of completion, according to the original report, which cited the company’s transaction announcement.

The exchange operator also anticipates that the combination will increase adjusted earnings per share during the first full year after the deal closes.

To fund the all-cash acquisition, ICE plans to raise financing through newly issued debt, including bonds, a term loan and commercial paper.

The financing structure would allow ICE to acquire MarketAxess without issuing shares as consideration, although it would increase the company’s debt obligations.

ICE has maintained its expectation that the transaction will close during the first half of 2027, subject to outstanding approvals and other closing requirements.
