The latest effort introduces another potential obstacle for the media companies as they navigate legal scrutiny, substantial debt obligations and pressure to demonstrate the financial benefits of bringing their entertainment businesses together.

According to Deadline’s October 19 report, opponents are seeking an injunction aimed at keeping the two streaming platforms separate. The request raises questions about how quickly Paramount Skydance could realize operational efficiencies from the combination and whether restrictions on integration could affect its broader business strategy.

The dispute comes after months of legal challenges to the roughly $110 billion transaction, which would unite two major Hollywood studios and a portfolio of television networks and streaming businesses.

In July, a coalition of 12 state attorneys general secured a temporary restraining order against the merger, arguing that combining the companies could reduce competition in film production, theatrical distribution and television programming. The Writers Guild of America separately challenged the transaction, raising concerns about employment opportunities and compensation for writers.

Paramount has disputed those allegations, maintaining that greater scale is necessary to compete effectively against larger technology and streaming companies. The company has argued that the combination would strengthen its ability to invest in content and compete for audiences.

The regulatory outlook appeared to improve earlier this month when a federal judge approved a settlement resolving the states’ antitrust lawsuit and lifted an injunction that had prevented the transaction from closing, according to Bloomberg Law.

The latest challenge shifts attention toward the streaming operations, where Paramount+ and HBO Max represent two established subscription services with extensive film and television libraries.

A restriction on combining the platforms could complicate efforts to coordinate programming, marketing, technology and subscriber operations. It could also limit the companies’ flexibility in pursuing cost reductions and other financial benefits associated with consolidation.

For investors, the legal uncertainty comes at a sensitive time for an industry grappling with declining traditional television audiences, rising content expenses and intense competition for streaming subscribers.

The proposed combination would bring together assets including Paramount Pictures, Warner Bros., CBS, CNN, HBO and Nickelodeon, creating a media group with substantial influence across theatrical releases, television programming and digital distribution.

Whether the latest injunction request succeeds could have significant implications for how the companies operate their streaming businesses and pursue their integration plans.
