Regulator puts the brakes on Unipol-Premafin insurance merger

The Italian antitrust authority has halted a merger between Unipol Gruppo Finanziaria and Premafin Finanziaria SpA Holding di Partecipazioni (the parent company of Fondiaria-SAI). The watchdog is probing the transaction to see if the merged entity will create a dominant position in the insurance market that will harm competition. The terms of the deal call for the eventual creation of a single insurance company of three insurers–Premafin, Fondiaria-SAI, and subsidiary Milano Assicurazioni–folded into Unipol.
