Deutsche Boerse’s $6 Billion Allfunds Deal Faces EU Decision by Nov. 27

The deadline follows a formal merger notification submitted Thursday to the European Commission, according to Reuters, which reported the development based on a Commission filing.

The transaction would bring Amsterdam-listed Allfunds under the ownership of Deutsche Boerse, strengthening the German exchange operator’s position in Europe’s investment fund infrastructure market.

The acquisition forms part of Deutsche Boerse’s broader ambition to establish itself as a leading European provider of essential financial market services, Reuters reported, citing the company’s stated strategy.

Regulatory Review Could Shape Deal Timeline

The European Commission, which oversees merger competition rules across the EU, has several options as it evaluates the transaction.

Regulators may clear the acquisition outright, approve it subject to conditions intended to address competition concerns, or initiate a more extensive investigation if the preliminary assessment identifies significant potential problems.

A deeper examination could extend the regulatory process by approximately four months, according to Reuters.

The Nov. 27 deadline therefore marks the conclusion of the initial review period rather than a guarantee that the transaction will receive final clearance.

Strategic Expansion in European Fund Markets

The acquisition represents a significant step in Deutsche Boerse’s efforts to broaden its operations beyond traditional exchange trading and strengthen its presence across financial market infrastructure.

Allfunds operates a platform connecting investment fund providers and distributors, making the business a potentially important addition to Deutsche Boerse’s existing services.

The German company has positioned the transaction as part of its strategy to build a more integrated European financial infrastructure group, according to Reuters.

The deal, valued at approximately €5.35 billion, would also represent a substantial investment in the infrastructure supporting the distribution and administration of investment funds.

    Next Steps for the Acquisition

The immediate focus now shifts to Brussels, where competition officials will assess whether the proposed combination raises concerns under EU merger rules.

An unconditional approval would remove a major regulatory obstacle, while a conditional decision could require changes or commitments from the companies. A more detailed investigation would prolong uncertainty over the timetable.
