EU Grants Prosus Additional Time to Meet Delivery Hero Divestment Commitment

Dutch technology investor Prosus has received an extension from European Union antitrust authorities to fulfill its commitment to reduce its holding in Delivery Hero, according to Reuters.

    The extension relates to conditions attached to the EU’s approval of Prosus’ acquisition of Just Eat Takeaway last year. As part of that approval process, Prosus agreed to lower its 27.4% stake in Delivery Hero to below a specified minimal threshold within a 12-month period, per Reuters.

    Prosus, which is majority owned by South African investment group Naspers, requested additional time to complete the agreed measures. The European Commission confirmed that it had granted the extension.

    “We can confirm that on 29 May 2026, following a request from Naspers, we extended the deadline for the implementation of the remedies. Naspers still has to fully comply with the commitments,” a European Commission spokesperson said.

    According to Reuters, the Commission emphasized that the commitments were proposed by Prosus itself during the merger review process rather than being imposed by regulators.

    The spokesperson also noted that the concessions formed part of the company’s efforts to address competition concerns linked to the transaction. Despite the deadline extension, Prosus remains obligated to fully carry out the agreed remedies before the revised deadline expires.

    The European Commission did not disclose the length of the extension or provide further details about the updated timeline.
