The nation’s first Form II merger notification has been filed in regards to a proposed acquisition of Gujarat Gas Company Limited by Gujarat State Petroleum Corporation. A Form II is a form containing highly-detailed economic and competition impact analysis; they are filed in cases of horizontal mergers leading to more than 15 percent of market share, or in cases of vertical mergers leading to more than 25 percent of market share. According to experts, Form II filing is “complicated,” and will likely lead to a Phase II investigation. Gujarat State petroleum Corporation is looking to buy Gujarat Gas Company Limited from British Gas for $464 million.
