UK’s Hansa Investment and Ocean Wilsons Merge to Form £900M Asset Giant

Hansa Investment Company and Ocean Wilsons Holdings have finalized an all-share merger aimed at creating a diversified investment powerhouse with net assets exceeding £900 million ($1.21 billion), per Reuters.

    The agreement, announced on Monday, will see Ocean Wilsons shareholders receive 1.4925 new Hansa share units for each of their existing shares. These units include one voting share and two non-voting ‘A’ shares, according to a joint statement from both firms.

    Following the transaction, existing Hansa shareholders are expected to control approximately 58.6% of the merged entity, with Ocean Wilsons investors holding the remaining 41.4%, per Reuters.

    While the companies had disclosed in June that they were exploring a possible merger, the formal agreement marks a significant step forward in consolidating their investment capabilities. The combined entity aims to leverage a broad, flexible investment mandate in response to persistent global market volatility.

    “While global markets remain challenging, we believe that the combined group’s unconstrained multi-asset approach will provide a differentiated and diversified investment proposition,” said Hansa Chair Jonathan Davie.
