The Department of Justice has ended its investigation into potential antitrust concerns regarding the proposed merger between McKesson, a global healthcare services and IT company, and Change Healthcare, a provider of software and analytics, network solutions and technology-enabled services.
The two companies announced in June plans to combine McKesson’s IT business unit with Change Healthcare’s businesses to create a new company focused on healthcare technology and technology-enabled services.
On Dec. 21, the companies announced they’d received notification the DOJ closed its review and terminated the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with the proposed merger. They said the termination of this waiting period satisfied one of the conditions of the proposed transaction.
The transaction remains subject to other customary closing conditions, according to a news release. Subject to satisfaction of these other closing conditions, the acquisition is expected to close in the first half of next year.
