Boeing’s $4.7 Billion Spirit AeroSystems Deal Wins UK Antitrust Approval

Boeing Co.’s planned $4.7 billion acquisition of Spirit AeroSystems Holdings Inc. has secured approval from the UK’s Competition and Markets Authority (CMA), which opted not to escalate its review into a more extensive probe. The decision, announced Friday, allows the deal to advance without the delay of a second-phase investigation.

    According to Bloomberg, the CMA has not yet disclosed the reasoning behind its decision to clear the transaction at this stage. The regulator’s green light marks a significant step forward for Boeing, which announced in July last year that it would reacquire Spirit in an all-stock deal priced at $37.25 per share. Including Spirit’s net debt, the total value of the agreement is estimated at $8.3 billion.

    Per Bloomberg, a Spirit spokesperson stated that the acquisition is on track for completion in the fourth quarter of 2025. Boeing has not provided an immediate comment on the CMA’s decision.

    The transaction would reunite Boeing with a critical supplier nearly 20 years after it spun off Spirit to cut costs. Spirit is a key manufacturer of components for Boeing’s 737, 787 Dreamliner, and other aircraft models. As part of the arrangement, rival Airbus SE will assume control over certain Spirit facilities that produce parts for its own aircraft lineup.
