    Under the terms of the agreement, Danaher will purchase all outstanding shares of Masimo common stock for $180 per share in cash. Per Yahoo Finance, the transaction carries an implied enterprise value of about $9.9 billion, factoring in assumed debt and net of acquired cash. The valuation reflects a multiple of roughly 18 times Masimo’s estimated 2027 EBITDA, or about 15 times when anticipated annual synergies are fully considered.

    Danaher said the addition of Masimo will enhance its Diagnostics segment by incorporating Masimo’s noninvasive monitoring technologies. These include pulse oximetry and other patient monitoring systems widely used in acute care environments. The company views the acquisition as a strategic step to deepen its capabilities in hospital-based and critical care diagnostics.

    Once the deal is finalized, Masimo is expected to continue operating as a standalone business within Danaher’s Diagnostics portfolio. It will join other established brands in the segment, including Radiometer, Leica Biosystems, Cepheid and Beckman Coulter Diagnostics, per Yahoo Finance.

    “We are excited to welcome the Masimo team to Danaher,” Danaher CEO Rainer Blair said in a statement. “Masimo is a leader in pulse oximetry and other patient monitoring solutions, which combined with its trusted brand and differentiated technology, will greatly strengthen our diagnostics franchise.”

    Danaher anticipates that the acquisition will deliver modest earnings benefits shortly after closing. According to Yahoo Finance, the company expects the transaction to increase adjusted diluted net earnings per share by $0.15 to $0.20 in the first full year following completion. By the fifth full year, that contribution is projected to rise to approximately $0.70 per share.

    Masimo is also forecast to support long-term growth within Danaher’s Diagnostics business. The company projects that Masimo will achieve high-single-digit core revenue growth over time and generate more than $530 million in EBITDA in 2027, per Yahoo Finance. Additionally, Danaher expects to capture more than $125 million in annual cost synergies and over $50 million in annual revenue synergies by the fifth full year after the transaction closes.

    The acquisition is slated to close in the second half of 2026, subject to customary approvals and closing conditions. Danaher plans to finance the purchase using a combination of cash on hand and proceeds from debt financing, according to Yahoo Finance.
