Nuvei Corp. has reached an agreement to acquire Payoneer Global Inc. in a transaction valued at approximately $2.75 billion, bringing together two major North American payments firms that collectively handle more than $500 billion in annual payment volume.

    Under the terms of the agreement, Payoneer shareholders will receive $7.40 per share in cash, representing a 10% premium over the company’s previous closing price of $6.75, according to Bloomberg, citing a joint statement released by the companies on Monday.

    The proposed combination unites Montreal-based Nuvei and New York-headquartered Payoneer, both of which provide payment processing services to businesses and individuals across global markets. The companies also facilitate transactions involving stablecoins, a category of cryptocurrency designed to maintain a value tied to another asset, most commonly the US dollar.

    Following the merger, the combined company is expected to generate roughly $3 billion in annual revenue, according to Bloomberg. Executives said the deal would expand the range of services available to customers by integrating the strengths of both businesses.

    “By combining complementary capabilities, we can offer businesses a more complete platform to accept payments, send funds, issue cards, manage treasury and FX needs, and access embedded financial services – at scale,” said Phil Fayer, Nuvei’s chairman and chief executive officer.

    Per Bloomberg, the transaction is anticipated to close in mid-2027, subject to customary approvals and closing conditions.

    The acquisition has drawn support from a roster of prominent financial advisers and lenders. Goldman Sachs Group Inc. served as lead adviser to Nuvei, while Payoneer was advised by Qatalyst Partners, according to Bloomberg. Financing for the deal is being arranged by Bank of Montreal, RBC, Barclays Plc, UBS Group AG and Wells Fargo & Co.
