The Department of Justice appears to be looking into potential antitrust concerns regarding the proposed merger between McKesson and Change Healthcare.
The two companies announced in June plans to combine McKesson’s IT business unit with Change Healthcare’s businesses to create a new company focused on healthcare technology and technology-enabled services.
According to McKesson’s Form 8-K filing with the Securities and Exchange Commission, the company received a request from the DOJ Aug. 31 for additional information and documentation regarding the proposed sale as related to the Hart-Scott-Rodino Antitrust Improvements Act of 1976.
The companies do not appear to be worried that the sale will be derailed. “McKesson and Change Healthcare will respond as quickly as practicable and continue to work cooperatively with the DOJ staff in connection with its review of the transactions contemplated in the Contribution Agreement. Both McKesson and Change Healthcare continue to expect the transaction to be completed in the first half of the calendar year 2017,” according to the filing.
