Anthropic Co-Founders Lock In 50.1% Voting Control via Founder LLC

    A single share of Class F stock will amount to 50.1% of total voting power over corporate matters such as the election of some board directors and other matters submitted to investors, and that share will be directed by a majority vote of the seven co-founders, according to the report.

    Anthropic said in the filing that this corporate structure could lead to decisions “that may conflict with short-, medium- or long-term financial interests and business performance, which may negatively impact the value of our Class A common stock,” per the report.

    The seven co-founders quit OpenAI in 2020 and have remained united during the five years since they founded Anthropic, according to the report.

    Any of the co-founders could be removed from the Founder LLC if they quit, die, sell too many shares or are removed for “cause.” When only two or fewer of the co-founders or their successors remain, there will be a transition period and the voting share class will start to sunset, per the report.

    Reuters also reported Monday that Anthropic’s IPO prospectus shows that the company expects to spend $518 billion on cloud, computing and infrastructure needs in the years ahead.

    Anthropic has had both sharp growth and wider losses in the past year. The company’s revenue came to nearly $4.6 billion, a 12-fold increase, while it lost more than $8 billion on an operating basis, not counting writedowns of various liabilities mostly related to past fundraising, according to the report.

    PYMNTS reported Tuesday (Sept. 29) that Anthropic’s IPO prospectus is the AI industry’s most anticipated such prospectus and that it puts numbers to a company the market has only been able to guess at.

    The IPO could value Anthropic above $2 trillion, more than double the $965 billion it reached in May. Its debut is expected after the November midterm elections, per Monday’s Reuters report.
