Goldberg will step down from his roles as president, CEO and member of the board of directors, according to the first press release. The move follows an agreement between Goldberg and the board of directors. Goldberg will remain in the role of CEO through Feb. 16, 2027, to help with the leadership transition.

Separately, Noonan announced that he plans to resign as chief financial officer to pursue another opportunity, the release said. Noonan will continue as CFO through Dec. 31. Tripadvisor’s chief strategy and operations officer, Kristen Dalton, will step in as interim CFO beginning Jan. 1, 2027.

The board is working with an executive search firm to identify candidates for these roles, per the release.

Jeremy Philips, chair of the board of directors, said in the release: “On behalf of the board, I want to thank Matt and Mike for their leadership. We are grateful for their past contributions, as well as their support over the coming months.”

The announcements came on the same day that Tripadvisor announced third-quarter earnings results that showed the company’s revenue declined 11% year over year to $434.6 million and its net loss for the quarter was $316.9 million.

Tripadvisor also said in the Thursday earnings results release that it initiated a restructuring plan on Wednesday (Nov. 4) that included reducing the number of roles in its Hotels and Other segment and accelerating investment in its Experiences initiatives.

Tripadvisor also said in the release that its previously announced sale of TheFork to American Express was completed Sunday (Nov. 1). The net proceeds from the sale “provides the company with additional flexibility in its capital structure.”

American Express announced in June that it planned to acquire TheFork from Tripadvisor to build on its broader dining strategy.

It was reported about seven months earlier, in November 2025, that activist investors were pressuring Tripadvisor to sell either TheFork or the entire company.

Tripadvisor announced in March that it entered into a cooperation agreement with investment adviser Starboard Value that included four new directors joining Tripadvisor’s board “to support the company’s value creation efforts.”
